👉 “𝑂𝑏𝑙𝑖𝑔𝑎𝑡𝑖𝑜𝑛𝑠 𝑜𝑓 𝐵𝑢𝑠𝑖𝑛𝑒𝑠𝑠 𝑂𝑟𝑔𝑎𝑛𝑖𝑧𝑎𝑡𝑖𝑜𝑛𝑠 𝑎𝑛𝑑 𝐼𝑛𝑑𝑖𝑣𝑖𝑑𝑢𝑎𝑙𝑠 𝑊ℎ𝑒𝑛 𝑈𝑠𝑖𝑛𝑔 𝑆𝑡𝑎𝑛𝑑𝑎𝑟𝑑-𝐹𝑜𝑟𝑚 𝐶𝑜𝑛𝑡𝑟𝑎𝑐𝑡𝑠”
The session covered key legal aspects, including:
✅ Legal nature of standard-form contracts under Article 405 of the 2015 Civil Code, including their pre-drafted nature, application to multiple transactions, and the imbalance in bargaining positions between parties.
✅ Pre-contractual obligations, including providing accurate and adequate information, making standard-form contracts publicly available, and giving consumers reasonable time to read, understand, and consider the terms before entering into a contract under the 2023 Law on Protection of Consumers’ Rights.
✅ Form, language, and contents, including the requirement to use Vietnamese, the principle of applying the version more favorable to consumers, and the requirement for clear and comprehensible terms.
✅ Registration and prohibited terms, including 15 categories of prohibited or unfavorable terms under Article 25 of the 2023 Law on Protection of Consumers’ Rights, such as exclusion of liability, restriction of complaint rights, unilateral amendments, unilateral interpretation, and requirements relating to personal data consent.
✅ Post-contractual obligations, including retaining contracts, providing copies to consumers, removing non-compliant terms, and publicly disclosing amended contracts.
💡 Standard-form contracts help businesses standardize contracting processes and improve efficiency, particularly for frequent and large-scale transactions. However, standardization should not become a means of imposing unfavorable terms on consumers.
🌱 From a legal advisory perspective, reviewing standard-form contracts should cover the entire transaction lifecycle, from drafting and publication to execution, amendment, and risk management.
